Perpetual Worldwide Commercial Image License Agreement
Upon receipt of full payment, Photographer Tim Hall (“Photographer”) grants the Client a non-exclusive, perpetual, worldwide, non-transferable license to reproduce, publish, display, distribute, and otherwise use the licensed photographic images (“Images”) for the Client’s commercial, marketing, advertising, editorial, and promotional purposes.
This license permits use of the Images across all media formats and distribution channels now known or later developed, including but not limited to print advertising, packaging, digital advertising, websites, social media, broadcast media, point-of-sale materials, corporate communications, and promotional campaigns.
The license granted herein is perpetual (indefinite in duration) and worldwide in geographic scope, and no renewal is required for continued authorized use.
Copyright and Ownership
All copyright, authorship, and intellectual property rights in and to the Images remain the sole and exclusive property of Photographer Tim Hall. Nothing in this Agreement shall be interpreted as a transfer or assignment of copyright ownership.
The Client is granted usage rights only and shall not claim authorship, copyright ownership, or proprietary rights to the Images.
Restrictions on Transfer and Sublicensing
The Client may not sell, sublicense, license, transfer, assign, or otherwise distribute the Images to third parties without the prior written consent of the Photographer, except where the Images are incorporated into the Client’s marketing or promotional materials in the ordinary course of business.
Use of the Images by affiliated companies, subsidiaries, agencies, contractors, or media partners engaged by the Client for production or advertising purposes is permitted provided such parties use the Images solely on behalf of the Client.
Artificial Intelligence and Dataset Protection
The Client shall not use, upload, distribute, or otherwise make the Images available for the purpose of training, developing, fine-tuning, or improving artificial intelligence systems, machine learning models, image-generation tools, or dataset libraries without the express written consent of the Photographer.
The Images may not be included in any image dataset, scraping archive, automated training library, or synthetic media generation system.
Image Integrity and Ethical Use
The Images may not be altered, manipulated, or used in a manner that is defamatory, misleading, unlawful, or that misrepresents the subject matter or intent of the original photograph. Reasonable cropping, resizing, and layout adjustments for marketing purposes are permitted.
Indemnification
The Client agrees to indemnify, defend, and hold harmless Photographer Tim Hall, his representatives, and assigns from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from the Client’s use of the Images in violation of this Agreement or applicable laws and regulations.
The Photographer warrants that he is the lawful copyright holder of the Images and has the authority to grant this license.
Photographer Promotional Rights
Unless otherwise agreed in writing, the Photographer retains the right to use the Images for portfolio display, exhibitions, competitions, editorial features, professional publications, marketing, and self-promotion.
Optional Brand Exclusivity
If negotiated and specified in writing, the Photographer may grant the Client brand or industry exclusivity for the licensed Images. During the exclusivity period, the Photographer agrees not to license the same Images to direct competitors of the Client within the specified industry category.
Exclusivity terms must define:
- Industry category
- Geographic scope (if applicable)
- Duration of exclusivity
- Additional exclusivity licensing fee
Unless explicitly stated in writing, no exclusivity is granted under this Agreement.
Additional Usage
Any usage of the Images beyond the scope of this Agreement must be approved in writing by Photographer Tim Hall and may be subject to additional licensing fees.
